SAFE FRONTIER INC END-USER LICENSE AGREEMENT

NOTICE:

Safe Frontier Inc licenses the accompanying software and documentation to you only upon the condition that you accept all of the terms and conditions contained in this SAFE FRONTIER INC SOFTWARE END-USER LICENSE AGREEMENT. Please read the terms carefully before continuing installation. If you do not agree to these terms, please exit install as Safe Frontier Inc is unwilling to license the software to you, in which event you should return the full product with proof of purchase to the dealer from whom it was acquired within thirty (30) days of purchase, and your money will be refunded.

To download and/or install this software, you must agree to all of the following terms:

I am not a citizen, national, or resident of, and am not under the control of, the government of: Cuba, Iran, Sudan, Iraq, Libya, North Korea, Syria, nor any other country to which the United States has prohibited export. I will not download or otherwise export or re-export this product, directly or indirectly, to the above mentioned countries or to citizens, nationals, or residents of those countries. I am not listed on the United States Department of Treasury lists of Specially Designated Nationals, Specially Designated Terrorists, and Specially Designated Narcotic Traffickers, nor am I listed on the United States Department of Commerce Table of Denial Orders. I will not download, or otherwise export, or re-export this product, directly or indirectly, to persons on the above mentioned lists. I will not use this product for, and will not allow the product to be used for any purposes prohibited by the United States law, including without limitation, for the development, design, manufacture, or production of nuclear, chemical, or biological weapons of mass destruction.

The Safe Frontier Inc software (Software Product) and all materials delivered to you along with this software, which accompanies this license is the property of Safe Frontier Inc (SafeFrontier), or its licensers and is protected by copyright law. While SafeFrontier continues to own the Software Product, you will have certain rights to use it after your acceptance of this License. Except as may be modified by a license addendum which accompanies this License, your rights and obligations with respect to the use of this Software Product are as follows:

YOU MAY:

(i) Use one copy of the Software Product on a single computer;

(ii) Make a copy of the Software Product for archival purposes, or copy the Software Product onto the hard disk of your computer and retain the original for archival purposes;

(iii) Use the Software Product on a network, provided that you have a licensed copy of the Software Product for each computer that can access the Software Product over that network;

(iv) After a designated approval by SafeFrontier, transfer the Software Product on a permanent basis to another person or entity, provided that you retain no copies of the Software Product and the transferee agrees to the terms of this agreement; and

YOU MAY NOT:

(i) Copy the documentation which accompanies the Software Product;

(ii) Sublicense, rent or lease any portion of the Software Product;

(iii) Reverse engineer, decompile, disassemble, modify, translate, and make any attempt to discover the source code of the Software Product, or create derivative works from the Software Product;

LEGAL AGREEMENT:

Installing, copying or using the Software Product you will be deemed to have accepted and agreed to be bound by this SAFE FRONTIER INC SOFTWARE END-USER LICENSE AGREEMENT. If you do not agree to accept or be bound by this License, do not install copy or use this Software Product.

Use of the Software Product may require the use of additional services (Service) provided by SafeFrontier and/or its parent companies, subsidiaries, affiliates, licensors, suppliers, operational service providers, promotional partners, sponsors and resellers.

The Service provided by SafeFrontier is also conditioned upon acceptance and compliance by you with this License and the SafeFrontier Terms of Service Agreement (http://safefrontier.com/terms) hereby incorporated in this License by reference. Other entities may have different terms and conditions of service and you should check with them before considering, attempting to use, or using their services.

LICENSOR:

This License is granted by Safe Frontier Inc, incorporated in the state of Florida of the United States of America.

LICENSE GRANT:

SafeFrontier grants to you this nontransferable, non-exclusive right to use this Software Product as well as any updates and/or upgrades provided to you by SafeFrontier and/or its parent companies, subsidiaries, affiliates, licensors, suppliers, operational service providers, promotional partners, sponsors and resellers. You hereby acknowledge and consent to such periodic updates and/or upgrades without the need for further notification or consent.

You also agree that you will only copy this Software Product to be installed on the designated computer, and/or to be saved for backup purposes. You also agree not to alter or reverse-engineer it, not to modify any of its parts or components, and use it only in accordance with this License.

TERM:

This License is effective for the purchased term of use, unless terminated earlier as described in this License. You will destroy this Software Product, all its copies and all accompanying it material.

TERMINATION:

This License is terminated at the end of the purchased term of use. You may terminate this License at any time. SafeFrontier may terminate this license, without notice, if you fail to comply with any term or condition of this License.

OWNERSHIP:

Safe Frontier and/or its parent companies, subsidiaries, affiliates, licensors, suppliers, operational service providers, advertisers, promotional partners, sponsors and resellers may have patents or pending patent applications, trademarks, copyrights, trade secret rights or other intellectual property rights covering this Software Product and all materials delivered to you along with this product. You acknowledge that all such materials are the property of Safe Frontier, and/or its parent companies, subsidiaries, affiliates, licensors, suppliers, operational service providers, advertisers, promotional partners, sponsors and resellers. You also accept that the only rights you have with respect to the Software Product and all its supplementary materials you have purchased are the rights to use them in accordance with the terms of this License. This Software Product is protected by applicable intellectual property laws and international treaties. You (a) acknowledge that no title to the intellectual property in the Software Product is transferred to you, (b) confirm that any copies of the Software Product you make will contain the same proprietary notices, which appear on and in the Software Product, and (c) agree that you will not copy the printed materials accompanying this Software Product.

MODIFICATION AND PRODUCT INTEGRITY:

You agree that you will not temper with the Software Product or in any way breach or infringe its integrity. For example, you will not and will not attempt to, (a) modify any of its components and parts or (b) disassemble, reverse assemble, reverse engineer, decompile or recompile, or in any way alter its code, integrity, and/or functionality.

OTHER RESTRICTIONS:

You must not (a) transfer, rent, lease, or sublicense the Software Product without prior approval by SafeFrontier, permit its use in a computer service business, network or timesharing.

THIRTY DAYS MONEY BACK GUARANTEE:

If you are the original licensee of this copy of the Software Product and are dissatisfied with it for any other reason, you may return the complete Software Product, together with your receipt, to SafeFrontier or for a refund minus shipping, handling and/or processing costs, at any time during the thirty (30) days period following the delivery to you of the Software Product.

LIMITED WARRANTY:

SafeFrontier warrants that the media on which the Software Product is distributed will be free from defects for a period of thirty (30) days from the date of delivery to you. Your sole remedy in the event of a breach of this warranty will be that SafeFrontier will, at its option, replace any defective media returned to SafeFrontier within the thirty (30) days period or refund the money you paid for the Software Product. This Software Product provided to you "as is" without any other warranty of any kind. SafeFrontier, and/or its parent companies, subsidiaries, affiliates, licensors, suppliers, operational service providers, advertisers, promotional partners, sponsors and resellers do not guarantee that this Software Product will fully meet your requirements, or that its operation will be error-free, or uninterrupted. Also, no warranties express or imply, or guarantee is provided with respect to the (a) operation, (b) quality, (c) fitness for a particular purpose, and (d) performance of this Software Product.

THE ABOVE WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.

DISCLAIMER OF DAMAGES:

Regardless of whether any remedy set forth herein fails of its essential purpose, in no event will SafeFrontier, and/or its parent companies, subsidiaries, affiliates, licensors, suppliers, operational service providers, advertisers, promotional partners, sponsors and resellers will be liable to you for any special, consequential, indirect or similar damages, including any lost profits or lost data arising out of the delivery, use, or inability to use the Software Product (including, without limitation, damages for loss of data or computer time, loss of business profits or business interruption, loss of business information, or any other loss including the failure to retrieve the information from a lost computer and/or recover a lost computer, or loss of information as a result of proper Software Product operation) even if SafeFrontier has been advised of the possibility of such damages.

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages so the above limitation or exclusion may not apply to you.

IN NO CASE THE LIABILITY OF SAFEFRONTIER, AND/OR ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, LICENSORS, SUPPLIERS, OPERATIONAL SERVICE PROVIDERS, ADVERTISERS, PROMOTIONAL PARTNERS, SPONSORS AND RESELLERS SHALL EXCEED THE PURCHASE PRICE OR PAID FEES FOR THE SOFTWARE PRODUCT. THE DISCLAIMERS AND LIMITATIONS SET FORTH ABOVE WILL APPLY REGARDLESS OF WHETHER YOU ACCEPT THE SOFTWARE PRODUCT AND TERMS AND CONDITIONS OF THE LICENSE.

YOU AGREE TO ABIDE BY ALL LAWS AND REGULATIONS IN EFFECT AND CHECK WITH YOUR NATIONAL, REGIONAL, LOCAL, AND OTHER LAWS, RULES, AND REGULATIONS REGARDING YOUR USE OR USE OF ANY FEATURE OF THE SOFTWARE PRODUCT, BEFORE ATTEMPTING TO USE, OR USING THE SOFTWARE PRODUCT, SERVICES, ACCOMPANYING MATERIAL, OR ANY FEATURE OR FUNCTIONALITY OF THEREOF. YOU MAY NOT AUTHORIZE OR ASSIST ANY THIRD PARTY TO DO ANY OF THE THINGS NOT ALLOWED UNDER THIS LICENSE. YOU UNDERSTAND AND AGREE UNDER ALL AND ANY CIRCUMSTANCES NOT TO HOLD LIABLE FOR THE THINGS DESCRIBED IN THIS LICENSE: SAFEFRONTIER, ITS PARENT COMPANIES, SUBSIDIARIES, OR SUCCESSORS AND ASSIGNS, OR ANY OF THEIR RESPECTIVE SUBSIDIARIES, AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, REPRESENTATIVES, OPERATIONAL SERVICE PROVIDERS, ADVERTISERS OR SUPPLIERS AND THEY WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND, DIRECT OR INDIRECT, IN CONNECTION WITH OR ARISING FROM USE OF THE SOFTWARE PRODUCT, OR FROM THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO, COMPENSATORY, CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES.

U.S. GOVERNMENT RESTRICTED RIGHTS:

All SafeFrontier products and documentation are commercial in nature. The Software Product and documentation are "Commercial Items", as that term is defined in 48 C.F.R. section 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are defined in 48 C.F.R. section 252.227- 7014(a) (5) and 48 C.F.R. section 252.227-7014(a) (1), and used in 48 C.F.R. section 12.212 and 48 C.F.R. 227.7202, as applicable. Consistent with 48 C.F.R. section 12.212, 48 C.F.R. section 252.227-7015, 48 C.F.R. section 227.7202 through 227.7202-4, 48 C.F.R. section 52.227-14, and other relevant sections of the Code of Federal Regulations, as applicable, SafeFrontier's software and software documentation are licensed to the United States Government end users with only those rights as granted to all other end users, according to the terms and conditions contained in this License.

GENERAL:

This Agreement will be governed by the laws of the State of Virginia of the United States of America and commits that any dispute in respect of this license will be commenced and heard only in the courts of the state of Virginia of the United States of America and courts having appellate jurisdiction there over. This SAFE FRONTIER INC SOFTWARE END-USER LICENSE AGREEMENT supersedes any prior agreement and may only be modified by a License addendum which accompanies this License or by a written document, which has been signed by both you and SafeFrontier. In the event of the invalidity of any provision of this License, the parties agree that such invalidity shall not affect the validity of the remaining portions of this License.

IN ADDITION, THE FOLLOWING TERMS AND CONDITIONS APPLY FOR DOWNLOADING AND USING TEMPORARY TRIAL-WARE PRODUCT.

TERMS AND CONDITIONS:

Safe Frontier Inc. (SafeFrontier) agrees to license this temporary trial-ware Software Product (Trail-ware) to you as an individual or a legal entity that will utilize the Trial-ware only on the condition that you accept all of the terms of this temporary Trial-ware evaluation license agreement ("Trial-ware Agreement"). Read the terms and conditions of this Trial-ware Agreement carefully before using the Trial-ware. This is a legal and enforceable contract between you and SafeFrontier.

GRANT:

Trial-ware grant is subject to your compliance with the terms and conditions of this Trial-ware Agreement. SafeFrontier or its licensors grant to you a temporary non-exclusive, non-transferable, non-sub licensable, royalty-free license to use the Trial-ware and the documentation that accompanies it. The Trial-ware should be used for the purpose of evaluation only. Using the Trial-ware you must at all times comply with this Trial-ware Agreement and the SAFE FRONTIER INC SOFTWARE END-USER LICENSE AGREEMENT (EULA) OR (LICENSE) that accompanies this Trial-ware. Where there is a conflict between the terms of this Trial-ware Agreement and the EULA, the terms of this Trial-ware Agreement shall control.

TERM:

This Trial-ware Agreement shall be effective during the entire Trial Period from the date of your acceptance of this Trial-ware Agreement. During the Trial Period, You will be notified by SafeFrontier in the weeks prior to the end date of the Trial Period that such end date is approaching. You are solely responsible to take appropriate measures to prevent any loss of files or data. The Trial-ware may contain an automatic disabling mechanism that prevents its use after the Trial Period. Upon the expiration of the Trial Period, you will not be able to use the Trial-ware.

TERMINATION:

This Trial-ware Agreement will automatically terminate upon your breach of any of the provisions in this Trial-ware Agreement or EULA. You may terminate this Trial-ware Agreement at any time during the Trial Period by uninstalling and/or deleting the Trial-ware, including all permitted copies thereof (if applicable), and destroying all the accompanying material, and make no further use of the Trial-ware.

FEE:

There will be no charge for your use of the Trial-ware in accordance to the terms and conditions of this Trial-ware Agreement.

OWNERSHIP/TITLE:

The Trial-ware is the proprietary property of SafeFrontier or its licensors and is protected by copyright law. SafeFrontier and its licensors retain any and all rights, title and interest in and to the Trial-ware, including in all copies, improvements, enhancements, modifications and derivative works of the Trial-ware. Your rights to use the Trial-ware shall be limited to those expressly granted in this Trial-ware Agreement. All rights not expressly granted to you are retained by SafeFrontier and/or its licensors.

UPDATES:

SafeFrontier is not obligated to provide updates to the Trial-ware or the content utilized by the Trial-ware. However, in the event SafeFrontier in its sole discretion provides Updates, such Updates shall be deemed included in the Trial-ware and shall be subject to the terms of this Trial-ware Agreement, unless other terms of use are provided by SafeFrontier in connection with such Updates.

FEEDBACK:

Feedback consists of any of your suggestions, comments or other feedback, whether it is required relating to the Trial-ware. If you provide SafeFrontier with any Feedback, as required or on a voluntary basis, as part of testing and evaluating the Trial-ware, you agree that: (a) SafeFrontier may freely use, disclose, reproduce, license, distribute and otherwise commercialize the Feedback in any SafeFrontier product, specification or other documentation; and (b) you will not give SafeFrontier any Feedback (1) that you have reason to believe is subject to any patent, copyright, or other intellectual property claim or right of any third party; or (2) that is subject to license terms that seek to require any SafeFrontier product incorporating or derived from any Feedback, or other SafeFrontier intellectual property, to be Trial-ware to or otherwise shared with any third party. You also grant third parties, without charge, those patent rights necessary to enable their products to use or interface with any specific parts of a SafeFrontier product that incorporate the Feedback.

SUPPORT:

The Trial-ware is provided to you without maintenance/support of any kind.

WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY. As this Trial-ware Agreement provides you an opportunity to evaluate the Trial-ware Software without charge or obligation (except for the covenants and undertakings set forth in this Trial-ware Agreement and the EULA) SafeFrontier does not warrant the Trial-ware Software Product in any way.

YOU UNDERSTAND THAT THE TRIALWARE IS PROVIDED "AS IS."

SAFEFRONTIER, AND/OR ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, LICENSORS, SUPPLIERS, OPERATIONAL SERVICE PROVIDERS, ADVERTISERS, PROMOTIONAL PARTNERS, SPONSORS AND RESELLERS EXPRESSLY DISCLAIM ALL CONDITIONS AND WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR ANY OTHER WARRANTY, WHETHER EXPRESSED OR IMPLIED. SAFEFRONTIER MAKES NO WARRANTIES OR REPRESENTATIONS THAT THE TRIALWARE, CONTENT UPDATES OR UPGRADES WILL MEET YOUR REQUIREMENTS OR THAT OPERATION OR USE OF THE TRIALWARE, CONTENT UPDATES, AND UPGRADES WILL BE UNINTERRUPTED OR ERROR-FREE. YOU MAY HAVE OTHER WARRANTY RIGHTS, WHICH MAY VARY FROM STATE TO STATE AND COUNTRY TO COUNTRY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE, IN NO EVENT WILL SAFEFRONTIER AND/OR ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, LICENSORS, SUPPLIERS, OPERATIONAL SERVICE PROVIDERS, ADVERTISERS, PROMOTIONAL PARTNERS, SPONSORS AND RESELLERS BE LIABLE TO YOU FOR (i) ANY COSTS OF PROCUREMENT OF SUBSTITUTE OR REPLACEMENT GOODS AND SERVICES, LOSS OF PROFITS, LOSS OF USE, LOSS OF OR CORRUPTION TO DATA, BUSINESS INTERRUPTION, LOSS OF PRODUCTION, LOSS OF REVENUES, LOSS OF CONTRACTS, LOSS OF GOODWILL, OR ANTICIPATED SAVINGS OR WASTED MANAGEMENT AND STAFF TIME; OR (ii) ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES WHETHER ARISING DIRECTLY OR INDIRECTLY OUT OF THIS TRIALWARE AGREEMENT, EVEN IF SAFEFRONTIER AND/OR ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, LICENSORS, SUPPLIERS, OPERATIONAL SERVICE PROVIDERS, ADVERTISERS, PROMOTIONAL PARTNERS, SPONSORS AND RESELLERS HAVE BEEN ADVISED SUCH DAMAGES MIGHT OCCUR. IN NO CASE SHALL SAFE FRONTIER'S OR ITS LICENSORS' LIABILITY EXCEED TEN U.S. DOLLARS (U.S. $10.00). NOTHING IN THIS TRIALWARE AGREEMENT SHALL OPERATE SO AS TO EXCLUDE OR LIMIT SAFEFRONTIER'S LIABILITY TO YOU FOR DEATH OR PERSONAL INJURY ARISING OUT OF NEGLIGENCE OR FOR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED BY LAW. THE DISCLAIMERS AND LIMITATIONS SET FORTH ABOVE WILL APPLY REGARDLESS OF WHETHER OR NOT YOU ACCEPT THE TRIALWARE, CONTENT UPDATES OR UPGRADES.
